Role Summary

Paxos Labs is seeking a high-caliber General Counsel to own and drive the company's legal and regulatory strategy as it scales its digital asset platforms. As the sole legal officer of the organization, you will establish the foundational legal function, navigating complex commercial negotiations, substantive regulatory positioning, and corporate governance across stablecoin earn agreements, tokenized commodities, and institutional credit frameworks.

Key Responsibilities

Legal & Regulatory Strategy: Own the end-to-end legal and regulatory direction across the full product suite, including stablecoin earn products, asset orchestration, tokenized commodities, and lending protocols.
Commercial Contracting: Draft, negotiate, and close enterprise commercial agreements and counterparty contracts across all business lines.
Regulatory Positioning: Lead regulatory analysis to produce defensible characterizations for securities, commodities, money transmission, and Virtual Asset Service Provider (VASP) frameworks.
Corporate Structure & Governance: Manage entity formation, board governance, cap table management, intercompany agreements, and corporate financing documentation.
Compliance Integration: Oversee the compliance stack, including AML/sanctions policies, KYB and institutional counterparty onboarding, and due diligence responses.

Requirements & Qualifications

Must-Haves

Legal Leadership Experience: Proven track record acting as General Counsel or senior legal counsel in crypto, fintech, or institutional digital asset environments.
Cross-Disciplinary Expertise: Capability to fluidly move between commercial negotiation, complex regulatory analysis, and corporate governance.
Regulatory Depth: Deep understanding of global digital asset regulations, securities law, commodities frameworks, and money transmission compliance.
Foundational Mindset: Hands-on ability to build, operationalize, and lead a standalone legal function from scratch.
